The Companies Amendment Bill of 2023 introduces significant changes to South Africa’s corporate regulatory landscape in terms of the 2024 Companies Amendment Act. These updates emphasise transparency, governance, and accountability standards, especially in director remuneration and social ethics. The amendments promote equity and corporate responsibility. 

Signed into law by the President on 26 July 2024, the Companies Amendment Act and the Companies Second Amendment Act (amending the Companies Act of 2008) will come into operation on a date to be set by presidential proclamation. The amendments also update takeover rules for private companies with more than ten shareholders and expand the role of social and ethics committees, mandating more independent oversight for larger firms.
